How to change your Florida LLC's registered agent

The short version: file form INHS18 ($25) with the new agent's signature, or update it online through your annual report or an amended annual report. The registered office must be a Florida street address.

Step by step

  1. Choose the new agent. Florida requires a registered office in Florida, and the agent's business address must be identical to it. The agent can be a Florida resident or an authorized business entity (Fla. Stat. 605.0113(1)).
  2. Get the agent's written acceptance. Each successor agent must accept the appointment in writing (605.0113(2)). Form INHS18 has the acceptance and signature block.
  3. File it, by mail or online:
    • Mail: Statement of Change of Registered Office or Registered Agent or Both for Limited Liability Company (INHS18). Fee $25 ($55 with a certified copy). Send to Registration Section, Division of Corporations, P.O. Box 6327, Tallahassee, FL 32314.
    • Online: if the LLC was formed before January 1 of this year, Sunbiz says you can update records by filing the Annual Report (Jan 1 – May 1) or an Amended Annual Report ($50). Updates post within minutes.
  4. Keep the confirmation. Sunbiz emails filing confirmations to the entity's email address on file.

If your registered agent resigned

A registered agent can resign by filing a statement with the Department and must mail a copy to the LLC's mailing address. The resignation ends the agent's role on the 31st day after it's filed, or earlier if you file a change naming a new agent (Fla. Stat. 605.0115). Florida requires every LLC to continuously maintain a registered agent (605.0113), so appoint a replacement before that date using the steps above.

Doing it yourself vs. a commercial agent

Being your own agent costs nothing beyond the filing fee. But your address goes on the public record (what's public on Sunbiz), and you must be reachable there during business hours. A commercial registered agent lists its own Florida address instead. Northwest Registered Agent lists its service at $125/year on its own site (source). See Northwest registered agent service
